Terms of Service

These Terms of Service ("Terms") govern your access to and use of SpotBiddr, operated by VAI Operations LLC ("Company," "we," "our," or "us"). By creating an account or using the service, you agree to be bound by these Terms.

1. Agreement to Terms

By registering for an account, accessing, or using SpotBiddr, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the service.

2. Description of Service

SpotBiddr is a business-to-business SaaS platform that uses artificial intelligence to help trade contractors generate project estimates and client proposals. The service includes text, document, and voice-based estimate inputs; AI-powered estimate generation; PDF proposal creation; and shareable proposal links. The service is intended for commercial use by trade and construction professionals.

3. Account Registration & Security

  • You must be at least 18 years old and using the service for legitimate business purposes
  • You must provide accurate, current, and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You are responsible for all activity that occurs under your account
  • If you sign in with Google OAuth, your use is also subject to Google's Terms of Service
  • Notify us immediately at support@vaioperationsllc.com if you suspect unauthorized access to your account

4. Subscription Plans & Billing

  • SpotBiddr offers subscription plans and a pay-per-estimate option, as described on our Pricing page
  • All billing is processed securely by Stripe. By subscribing, you authorize recurring charges to your payment method
  • Free plan users receive 3 estimates per month at no charge. No credit card is required to start
  • Consumed estimates (AI-generated) and past billing periods are non-refundable
  • Plan upgrades take effect immediately; plan downgrades take effect at the next billing cycle
  • We reserve the right to change pricing with at least 30 days' advance notice
  • Failure to pay may result in suspension or downgrade of your account

5. Acceptable Use Policy

Permitted Use

You may use SpotBiddr to generate legitimate project estimates and proposals for your trade or construction business.

Prohibited Use

You may not:

  • Reverse engineer, decompile, or attempt to extract the source code of the service
  • Scrape, crawl, or systematically extract data from the platform
  • Resell, sublicense, or provide API access to third parties
  • Use the service for any unlawful purpose or in violation of any applicable law or regulation
  • Submit content that is fraudulent, defamatory, obscene, or that infringes third-party intellectual property rights
  • Impersonate any person or entity or misrepresent your affiliation
  • Use AI-generated outputs to actively deceive clients about the nature or origin of estimates (e.g., representing AI outputs as certified engineering assessments)
  • Attempt to gain unauthorized access to any part of the service or its infrastructure

6. AI-Generated Content Disclaimer

Important: Estimates generated by SpotBiddr are produced by artificial intelligence and are intended as starting points only. They are not a substitute for professional judgment, on-site inspection, licensed contractor review, or compliance with local building codes and regulations.

The accuracy of AI-generated estimates depends entirely on the quality and completeness of the input you provide. Material costs, labor rates, and code requirements vary significantly by location and project. We make no warranty that any estimate reflects actual costs or is appropriate for your specific project.

You are solely responsible for reviewing, verifying, adjusting, and standing behind any estimate or proposal you send to a client. By using SpotBiddr to generate and share estimates, you accept full professional and legal responsibility for those estimates.

7. Intellectual Property

SpotBiddr and all underlying technology, branding, and content are owned by the Company and protected by applicable intellectual property laws. You retain full ownership of your business data, estimate content, and proposals. By using the service, you grant us a limited, non-exclusive license to process your content solely to provide the service to you. We do not claim ownership of your estimates or proposals.

8. Shared Proposal Links

When you generate a shared proposal link, that link can be accessed by anyone who has the URL, without authentication. Shared links expire after a set period. You are responsible for managing which proposals you share and with whom. We are not liable for unauthorized access to estimate data that occurs through a shared link you have distributed.

9. Privacy

Your use of SpotBiddr is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review the Privacy Policy to understand how we collect, use, and protect your information.

10. Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE COMPANY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY AI-GENERATED ESTIMATE.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE TOTAL FEES YOU PAID TO US IN THE THREE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your access to or use of the service; (b) any estimate or proposal you generate and send to clients; (c) your violation of these Terms; or (d) your violation of any applicable law or third-party rights.

12. Termination

  • We may suspend or terminate your account at any time for violation of these Terms, with or without prior notice
  • You may cancel your subscription at any time through the billing portal; your access will continue until the end of the current paid billing period
  • Upon termination, your data will be retained and then deleted per the schedule described in our Privacy Policy
  • Sections 6 (AI Disclaimer), 10 (Limitation of Liability), and 11 (Indemnification) survive termination

13. Governing Law & Disputes

These Terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to conflict of law principles. Any dispute arising from or relating to these Terms or the service shall be resolved by binding arbitration in Washington County, Pennsylvania, except that either party may seek injunctive relief in court for intellectual property violations. You waive any right to participate in a class-action lawsuit or class-wide arbitration.

14. Changes to Terms

We may update these Terms from time to time. For material changes, we will provide at least 30 days' advance notice by email or prominent in-app notice. Your continued use of the service after the effective date of updated Terms constitutes your acceptance. If you do not agree with the updated Terms, you must stop using the service and cancel your subscription before the effective date.
